Bumble goes private in a $1.3B deal

Bumble is leaving the stock market. The dating app has agreed to be acquired by Ithaca Holdings in an all-cash deal that values the company at about $1.3 billion and takes it private, the companies announced on October 13.

Ithaca will pay $6.05 for each Class A share. That’s a 138% premium to Bumble’s unaffected closing price on October 9, roughly $2.54. Measured against June 24, the day before Reuters first reported Bumble was exploring a sale, the premium is about 122%.

Investors reacted fast. Bumble’s stock jumped around 50% on Monday when reports of advanced talks broke, then climbed another 57% to $5.96 in premarket trading on Tuesday once the deal was confirmed.

A long way down from the IPO

The price tells its own story. Bumble went public in 2021 at a valuation of nearly $14 billion. Five years later, it’s being sold for less than a tenth of that.

The numbers behind the slide have been hard to ignore. In Q2 2026, revenue fell 15.2% year over year to $211 million, and paying users dropped 16.4% to about 3.2 million. Quarterly revenue has now been shrinking for nearly two years. In June 2025, the company cut 30% of its global workforce.

Who’s buying, and who’s staying

Ithaca co-CEOs Ravi Gupta and John Hegeman will become Bumble’s co-CEOs once the deal closes. The firm presents itself as a long-term holding company for “enduring technology businesses,” not a buy-and-flip investor.

Founder Whitney Wolfe Herd, who launched Bumble in 2014, stayed out of the board’s deliberations and vote. An independent committee reviewed the options with outside advisers and recommended the sale. She’ll stay closely involved after closing, working alongside Gupta and Hegeman.

“We have found a partner who shares our vision, believes in our women-first mission,” Wolfe Herd said.

The deal doesn’t need a shareholder vote. Wolfe Herd and affiliates of Blackstone, which owns about 14% of Bumble, have already approved it by written consent. There’s no financing contingency, and closing now depends on customary regulatory approvals. Bumble has cancelled its Q3 earnings call and will report only through its 10-Q filing.

Why go private now

Leaving the public markets gives Bumble room to experiment without answering to Wall Street every quarter. And it has plenty it wants to try.

This year, Bumble dropped the rule it was built on: in matches between men and women, only women could send the first message. Its own research found about two-thirds of female users preferred men to make the first move. “While women making the first move was a radical idea, being women-first was never about prescribing just one way to connect,” Wolfe Herd said, adding that users are “asking for more flexibility, less pressure, and more opportunities.”

In July, Bumble announced Plans, a separate app for real-world social events. Wolfe Herd has also said the company is building a new way to connect that could eventually replace swiping, with AI-driven features and more of a push toward meeting offline.

A reset for the whole category

Bumble’s problem is bigger than Bumble. Match Group, which owns Tinder and Hinge, has also seen engagement fall, especially among Gen Z. A 2026 Harris Poll found that 57% of Americans met their partner through friends, work or other in-person settings, compared with 24% who met online. Seventy-two percent said dating apps make dating feel more transactional than romantic.

“There hasn’t been a lot of innovation in the dating space for a while,” said Liesel Sharabi, an associate professor at Arizona State University who studies online dating. “Now that AI is here, the apps are going to be forced to innovate.”

For Bumble, that work now happens out of public view. The question is whether a private Bumble can find what comes after the swipe before its users find it somewhere else.
